Discount Usage Rules

1. Only registered Alibaba.com members who have not entered into any Qualified Trade Assurance Services Purchase Contract (“Orders”) before are entitled to obtain discount (the “Promotion”). “Qualified Trade Assurance Services Purchase Contract” refers to a Trade Assurance Services Purchase Contract entered into between buyer and supplier whereby the buyer has successfully remitted the initial payment to supplier.

2. Discounts have a value of up to US $500 when the initial payment is above US $500.

3. Each registered Alibaba.com member is only entitled to one discount during the promotion period (from Jan 21, 2016, 00:00:00 PST to Jan 27, 2016, 23:59:59 PST).

4. The buyer must fulfill the following conditions to enjoy the discount:

a) Buyer must start the order (supplier drafted orders are not accepted).

b) Both supplier and the buyer must confirm the order during the promotion period (from Jan 21, 2016, 00:00:00 PST to Jan 27, 2016, 23:59:59 PST).

c) Make sure the initial payment arrive at the assigned Citibank account before Feb 29, 2016.

d) The order must be shipped out before Apr 15, 2016.

FAQ

1. How many Trade Assurance orders can I place? How many discounts can I get?

You can place as many Trade Assurance orders as you like but you can only receive one discounted offer with a maximum value of US $500. Discount offer can only be used once.

3. How do I know if I am eligible for a discount on my order?

If you’re eligible for the promotional discount and meet the promotion criteria , you will see the following notification when you confirm your order.

4. Do all suppliers accept the discount offer?

Only Trade Assurance suppliers will accept the discount.

5. Can I use my discount on AliExpress?

No, the discount is only valid for Alibaba.com, which is used to offset the initial payment on Trade Assurance orders.

Terms and Conditions

BEFORE USING THIS DISCOUNT, YOUR ATTENTION IS DRAWN TO THE FOLLOWING TERMS AND CONDITIONS ("Terms") THAT APPLY TO THIS DISCOUNT:

Promotion Terms

1. 2. A discount entitles eligible buyers to save up to US $500 off an Order provided that the initial payment for such Order is above US $500.

3. The amount of discount to be applied is determined by the value of the initial payment of the Order as follows:

4. Each registered member of Alibaba.com is entitled to a maximum of one discount offer during the promotion period (from 00:00:00 PST January 21, 2016 to 23:59:59 PST January 27, 2016).

5. If a buyer has registered more than one membership account on Alibaba.com, it shall be entitled to a maximum of one discount offer for each membership account. However, each supplier may only accept a maximum of five discount offers.

6. The discount offer may only be redeemed during the promotion period.

7. The validity of the discounts is conditional upon the following:

A: Buyer must initiate the Order (i.e. the Order cannot be initiated by the supplier). The party initiating the order will be determined by the records in the Alibaba.com system.

B: Confirm your order with your supplier before Jan. 27, 2016 (23:59:59 PST)..

C: Make sure the initial payment arrive at the assigned bank account before Feb. 29, 2016 (23:59:59 PST). The amount to be remitted shall be the relevant initial payment amount minus the applicable discount to be applied under the discount.

D: The supplier shall ship out the products comprised in the Order before April 15, 2016 (23:59:59 PST) in accordance with the terms of the Order and the relevant rules and policies published on the Alibaba.com website (including without limitation, the Trade Assurance Service Rules).

8. The data and information recorded in the system of Alibaba.com shall serve as conclusive evidence and basis for determination of the above.

9. In the event an Order is not shipped out in time, or cancelled, terminated or suspended due to the fault of the supplier, the supplier shall be liable for all losses arising therefrom.

10. Subject to the fulfillment of the conditions set out in paragraph 7 above, One Touch (as defined in the Trade Assurance Service Rules) will repay the relevant suppliers the discounts granted on or around April 30, 2016.

11. If the actual value of the exported products under the Order is less than the value as indicated in the Order, the discount may be rejected at the sole discretion of Alibaba.com.

12. The number of discount offers are limited and will be awarded on a first come first serve basis (based on the timing of confirmation of the Order by buyer with supplier).

Undertakings

By using this discount, you agree and undertake that you will:

i. Not provide any untrue, falsified, incorrect, incomplete, misleading, fraudulent, or unlawful information to Alibaba.com;

ii. Not use or distribute any computer viruses or other destructive devices and codes that may harm, interfere with, intercept or expropriate any software or hardware system, data or personal information;

iii. Not gain or attempt to gain unauthorized access to the computer systems or networks used by Alibaba.com and/or any user of any designated websites or engage in any other activities that may harm the integrity of such computer systems or networks;

iv. Not carry on activities on Alibaba.com website that are not in compliance with any laws and regulations;

v. Not take any action which may undermine the integrity of Alibaba.com's feedback system, such as leaving positive feedback for himself using secondary member IDs or through third parties or by leaving unsubstantiated negative feedback for another member.

Representations, Warranties and Covenants

By using this discount, you represent, warrant and covenant (as applicable) to Alibaba.com that:

i. Any and all information you provide to Alibaba.com pursuant to your application for and use of the discount is and will remain true, accurate, complete, lawful and valid;

ii. You have and will continue to, at all times during your use of the discount and related services, abide by all relevant rules, polices, privacy policy and terms of use published on the Alibaba.com website;

iii. You have not infringed and will not infringe the legitimate rights of any third parties, including but not limited to the intellectual property rights, property ownership right and any third parties pursuant to your use of this discount and any related services;

iv. Your use of this discount complies or will comply with any and all applicable laws and regulations in any applicable jurisdiction.

Indemnification

By using this discount, you agree to indemnify Alibaba.com and its affiliates and their respective employees, agents and representatives and to hold them harmless, from any and all losses, damages, actions, claims and liabilities (including legal costs on a full indemnity basis) which may arise, directly or indirectly, from your breach of any of these Terms pursuant to your use of or attempt to use this discount. Alibaba.com reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with Alibaba.com in asserting any available defenses.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ALIBABA.COM SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTIAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS OR REVENUES, BUSINESS INTERRUPTION, LOSS OF BUSINESS OPPORTUNITIES OR LOSS OF DATA, WHETHER IN CONTRACT, NEGLIGENCE, TORT OR OTHERWISE, ARISING FROM THE USE OF OR INABILITY TO USE THE DISCOUNT(S).

General Rules

i. In the event that the Promotion is ceased or suspended by the relevant authorities or due to serious network attack or system fault, the Promotion may be terminated prematurely. Such situation will be classified as a force majeure event and Alibaba.com shall not be liable for any damages or claims that arise out of the event.

ii. You acknowledge and agree that Alibaba.com shall not be responsible, and shall have no liability to you or anyone else for any dispute or claim that arises out of your use of the discounts.

iii. By using the discounts, you agree to be bound by these Terms. Alibaba.com is not responsible for any late, lost, delayed, incomplete, illegible, misdirected or undeliverable entries, responses, or other correspondence, whether by e-mail or otherwise. Alibaba.com reserves the right in its sole and absolute discretion to cancel, modify or suspend these Terms or the Promotion in whole or in part, without liability to you. The amended and restated Terms shall be effective immediately upon posting on the Alibaba.com website. After posting of the amended and restated Terms, your continued participation in this Promotion shall be deemed to be your acceptance of the amended and restated Terms.

iv. Alibaba.com does not represent any participating suppliers or any member and will not be responsible for any damages or losses suffered by a member due to any participating suppliers’ failure to honor the Orders. Further, Alibaba.com does not control and is not liable to or responsible for the quality, safety, lawfulness or availability of any products supplied by the suppliers.

v. Discounts that remain unused after the specified usage period will lapse and cannot be refunded or exchange for anything.

vi. Alibaba.com reserves the right to reject your use of the discount in its sole discretion at any time.

vii. Alibaba.com reserves the sole and final right of interpretation of these Terms.

viii. These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (“Hong Kong”) without regard to any of its conflict of law provisions. You and Alibaba.com hereby agree to submit to the exclusive jurisdiction of the courts of Hong Kong for any disputes that arise out of your use of the discount.
